Openi has decided that his non -profit division will maintain control over his profit for profit, after the company initially announced that he had planned to convert into an organization for profit.
According to the company, the business wing of Openai, which is under non -profit since 2019, will move on to a company for public benefits (PBC). The non -profit will control and will also be a great shareholder of the PBC.
“Openi has been founded as a non -profit organization and is now supervised and controlled by that non -profit”, wrote the president of the board of directors of Openi Bret Taylor in a statement on the company’s blog. “Going forward, it will continue to be supervised and controlled by that non -profit.”
Openai says that he made the decision “after listening to the civic leaders and engaged in a constructive dialogue with the offices of the prosecutor General of Delaware and the Prosecutor General of California”.
“We thank both offices and we can’t wait to continue these important conversations to make sure that Openi can continue to prosecute his mission effectively,” said Taylor.
Openi was founded as a non -profit organization in 2015, but in 2019 it converted into a “limited profit” and tried to renovate once again in a production. When he moved on to a profit with cut, Openi maintained his non -profit wing, which currently has a control of control in the organization’s corporate arm.
Openi had stated that his conversion, which he claimed was necessary to collect the capital necessary to grow and expand his operations, would have preserved his status non -profit and instill with additional resources to be spent in “charity initiatives” in sectors such as health care, education and science. In exchange for his control participation in the Openi company, according to reports, the non -profit would have obtained billions of dollars.

Many did not agree with the proposal, including the first Openii Investor Elon Musk, who intended a cause against Openai who opposed the planned transition of the company. Musk’s complaint accuses the start of abandoning his non -profit mission, which aimed to guarantee that his research of artificial intelligence benefits from all humanity.
Musk had sought a preliminary injunction to stop Open conversion. A federal judge denied the request but allowed the case to go to a trial with a jury in the spring of 2026.
A group of former Openai employees and encode, a non -profit organization that sponsored the SB 1047 legislation to the Safety, presented Amicus briefs several weeks ago in support of Musk’s cause. Separately, a cohort of organizations, including non -profit organizations and working groups such as the California teams, presented a petition to the Procurator General of California Rob Bonta to prevent Openi from becoming a profit for profit, claiming that the company had not “managed to protect its charity assets”.
Numerous Nobel Prizes, legal professors and civil society organizations had also sent letters to Bonta and the prosecutor General of Delaware, Kathy Jennings, asking to stop the startup renovation efforts.
The stakes were high for Openai, who had to complete his conversion for profit by the end of this year or the next or risk renouncing the capital that the company has collected in recent months, according to reports. It is not clear what consequences to Openii can happen now that it is an inverted course.
In a letter to Monday staff also published on Openi’s blog, CEO Sam Altman said he thought that Openi may possibly request “trillion dollars” to achieve his goal of “making the company’s services) widely available for all humanity”.
“(Non Profit of Openi) will become a great shareholder in the PBC in an amount supported by independent financial consultants,” wrote Altman. “(W) are transferring themselves to a normal capital structure in which everyone has actions … we can’t wait to advance the details of the (our) plan in a continuous conversation with them, (our partner) Microsoft and our non -nominated profit commissioners.”
